As the Vice-President/General Counsel – Franchising of Holiday Inns, Mort Aronson was responsible for the supervision and implementation of all the franchise legal activities for Holiday Inns, including mergers and acquisitions, preparation of franchise disclosure documents, negotiations of franchise agreements, and other related franchise documents, franchise litigation, franchise mediation, U.S. and Canadian franchise development, international franchise development principally in Mexico and South America, as well as interfacing in helping to maintain good relationships between Holiday Inns and its franchisees.

From May 2003 until present, Mr. Aronson has successfully and effectively represented both franchisors and franchisees, including serving as a mediator in resolving franchise disputes, representing franchisees in negotiating their franchise agreements with their franchisors, representing franchisors in acquisitions, representing Franchisee Associations in their dealings with their franchisors, representing hotel franchisors in franchisee development projects in Mexico, as well as other miscellaneous projects affecting both franchisors and franchisees.
 
Retail Franchise Buying Club; Negotiation; Statutory Interpretation; Regulatory Compliance
The Firm has provided legal assistance and advice to a franchise corporation of a national franchisor regarding the applicability and enforceability of certain ambiguous statutes governing the operations of retail buying clubs.  In addition, the Firm has successfully negotiated with the State’s regulatory agency to allow the Client’s preferred business financing methodology and avoid adverse regulatory action.
 
Hotel Franchisee-Franchisor Mediation; Operational Standards; Compliance; Breach of Contract
A franchisee which was sued by the franchisor in Federal Court in Tennessee retained the Firm to defend it and to prevent the franchisor from revoking the franchisee’s authority to operate under the nationally-recognized chain’s name.  After successful efforts at mediating a resolution acceptable to the parties, the case was presented to the presiding judge who issued a ruling finding in favor of the Client.
